Terms and Conditions
Agreement to Terms: By accessing or using the API Subscription Service, you agree to be bound by these terms and conditions (the "Terms"). If you do not agree to these Terms, you may not access or use the API Subscription Service.
API License Fees: ERES reserves the right to charge / change fees for the use or access of the API.
Modification of Terms: ERES reserves the right to modify and update these terms and conditions at any time without prior notice. ERES may modify these Terms at any time, and such modification shall be effective immediately upon posting of the modified Terms. Your continued use of the API Subscription Service following any modification indicates your acceptance of the modified Terms.
Description of Service: The API Subscription Service provides access to a range of APIs, which may be used to retrieve data and perform actions through programmatic interfaces. The exact nature and functionality of each API may change from time to time, and your use of any API is subject to the then-current documentation and requirements for that API.
License to Use: Subject to these Terms, ERES grants you a limited, non-exclusive, non-sublicensable, and non-transferable license to access and use the API Subscription Service solely for your internal business purposes.
Restrictions on Use: You agree not to (a) use the API Subscription Service for any illegal or unauthorized purpose, (b) modify, reverse engineer, or create derivative works based on the API Subscription Service, (c) access the API Subscription Service in a manner that excessively burdens the ERES infrastructure, or (d) sell, rent, or lease access to the API Subscription Service to any third party.
Data and Privacy: You agree to comply with all applicable laws and regulations with respect to your use of the API Subscription Service, and to the processing of any data that is retrieved or otherwise processed through your use of the API Subscription Service. You further agree to have obtained all necessary rights and consents to allow ERES to use and process such data in accordance with these Terms.
Your Information with Us: ERES has the right to collect information about your use of the API, and you consent to this data collection as well as any other information you provide to us. This information will be used for internal or external business purposes, including but not limited to improving the API.
Termination: ERES may terminate or suspend your access to the API Subscription Service at any time if found in breach of point 6 – Restriction of use but not limited, with or without notice. Upon termination, your access will be immediately revoked.
Cancellation: The subscriber shall cancel the subscription at any point in time without any prior indication or notification to ERES. There is no refund applicable for the cancellation of the service when it is initiated by the subscriber.
Disclaimer of Warranty: The API Subscription Service is provided on an "as is" and "as available" basis, and ERES makes no representations or warranties of any kind, express or implied, as to the operation of the API Subscription Service or the information, content, materials, or products included or accessible through the API Subscription Service.
Limitation of Liability: ERES shall not be liable for any damages of any kind arising from the use of the API Subscription Service, including but not limited to direct, indirect, incidental, punitive, and consequential damages.
API Restrictions: By using the API, you agree not to use it in a way that violates any laws, regulations, codes, or the rights of any individual or entity, including but not limited to intellectual property rights, privacy rights, or personality rights. Unless explicitly stated in the Terms or allowed by local law, you agree to:
Not copy the API except when incidental to its regular use or when necessary for backup or operational security purposes.
Not rent, lease, sublicense, loan, translate, merge, adapt, vary, or modify the API.
Not make any alterations or modifications to the API, or any portion of it, or permit it to be combined with, or become incorporated into, any other programs.
Not disassemble, decompile, reverse engineer, or create derivative works based on any part or the whole of the API, unless it is explicitly permitted in the Additional Terms for the relevant API.
Keep all copies of the API secure, and maintain accurate and up-to-date records of the number and locations of all copies of the API.
Supervise and control the use of the API and ensure that your employees, contractors, and representatives use it in accordance with the Terms.
Include our copyright notice on all entire and partial copies you make of the API on any medium.
Not provide or otherwise make the API, or any part of it, including program listings, object and source program listings, object code, and source code, available to any person without our prior written consent.
Disclaimer: ERES provides the API and access to ERES Portal "as is" and makes no express or implied warranties, representations, or conditions regarding their merchantability, fitness for a particular purpose, non-infringement, accuracy of data, non-interference, or course of dealing. While we strive to maintain the availability of the ERES Portal, we do not guarantee or warrant uninterrupted access (including instances of downtime due to maintenance, upgrades, emergency repairs, or telecommunications failures beyond our control) and assume no liability in this regard. In no event shall we be liable to you, whether in contract, negligence, breach of statutory duty, or otherwise, under or in connection with the Terms, for:
loss of profits, sales, business, or revenue;
interruption of business;
loss of anticipated savings;
loss or corruption of data or information;
loss of business opportunity, goodwill or reputation; and
any special, indirect, or consequential loss, damage, charges, or expenses.
